Terms of Service

Welcome to Bracy. These Terms of Service ("Terms") govern your access to and use of the Bracy platform, including the website at bracy.ai, the application programming interfaces, and any related services (collectively, the "Service"), provided by Bracy ("Bracy," "we," "us," or "our").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.
If you do not agree to these Terms, you must not access or use the Service.
1. Description of Service
Bracy is an AI-powered data analytics platform that enables users to:
- Connect to external databases (PostgreSQL, MySQL, and other supported systems) to query and analyze data using natural language.
- Interact with an AI-powered chat interface that translates natural language questions into database queries and provides insights.
- Generate data visualizations, charts, and dashboards from query results.
- Upload and process documents to create a searchable knowledge base.
- Manage team access with role-based permissions and Row-Level Security (RLS) policies.
The Service relies on third-party large language model (LLM) providers to process natural language inputs. The specific provider may change at our discretion. You acknowledge that the accuracy, completeness, and reliability of AI-generated outputs cannot be guaranteed.
2. Eligibility
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.
If you are accessing the Service from the European Economic Area (EEA), the United Kingdom, or any jurisdiction with specific data protection laws, you acknowledge that your use of the Service is subject to your compliance with applicable local laws.
3. Account Registration and Security
To access most features of the Service, you must create an account by providing your first name, last name, email address, and a password. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information to keep it accurate and complete.
- Maintain the confidentiality of your password and restrict access to your account.
- Notify us immediately of any unauthorized use of your account or any security breach.
- Accept responsibility for all activities that occur under your account.
We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete, or if we have reasonable grounds to suspect such.
4. Subscription Plans and Billing
4.1 Free Account Creation
Creating a Bracy account is free. However, access to platform features requires an active paid subscription.
4.2 Paid Subscriptions
Bracy offers paid subscription plans (e.g., Pro, Teams) with varying features, usage limits, and pricing. The specifics of each plan, including pricing and feature availability, are described on our pricing page and may be updated from time to time.
4.3 Payment Processing
All payments are processed through Stripe, a PCI-compliant third-party payment processor. By subscribing to a paid plan, you authorize Stripe to charge your selected payment method on a recurring basis according to the billing interval you choose (monthly or annual). Bracy does not store your full credit card details; this information is handled exclusively by Stripe.
4.4 Billing Cycle and Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged at the then-current subscription rate at the start of each new billing period.
4.5 Cancellation
You may cancel your subscription at any time through the billing management section of the Service. Upon cancellation, your subscription will remain active until the end of the current billing period, after which access to paid features will be discontinued. No partial refunds will be issued for unused portions of a billing period.
4.6 Price Changes
We reserve the right to modify subscription pricing. Any price changes will take effect at the start of your next billing period following notice to you. Your continued use of the Service after a price change constitutes acceptance of the new pricing.
4.7 Failed Payments
If a payment fails, we may provide a grace period during which you can update your payment method. If payment is not resolved within the grace period, your access to paid features may be suspended or terminated.
5. User Content and Data
5.1 Your Content
"User Content" refers to all data, text, queries, messages, documents, database connection details, and any other information you submit to or through the Service. You retain all ownership rights to your User Content.
5.2 License to Bracy
By submitting User Content, you grant Bracy a limited, non-exclusive, worldwide license to use, process, store, and transmit your User Content solely for the purpose of providing, maintaining, and improving the Service. This license terminates when you delete your User Content or your account, except to the extent required for backup, archival, or legal compliance purposes.
5.3 AI Processing of Content
You acknowledge and agree that your conversation messages, database queries, query results, and document content may be transmitted to third-party AI/LLM providers for processing. We do not use your User Content to train AI models. The use of your data by third-party AI providers is subject to their respective terms of service and privacy policies.
5.4 Responsibility for Content
You are solely responsible for the legality, reliability, and appropriateness of your User Content. You represent and warrant that you have all rights necessary to submit your User Content and to grant the licenses described herein. You must not submit any content that infringes the rights of third parties or violates applicable law.
6. Database Connections
The Service allows you to connect to external databases. By providing database connection credentials, you represent and warrant that:
- You are authorized to access the database and the data contained therein.
- Your use of the Service to query the database complies with all applicable laws, regulations, and any agreements with the database owner or data controller.
- The data you access through the Service does not violate the rights of any third party, including data protection and privacy rights.
Database connection credentials are stored securely using a secure cloud secrets management service. Bracy does not access your connected databases for any purpose other than executing queries initiated by you or authorized users within your organization through the Service.
You are responsible for ensuring that appropriate security measures, including network controls and database permissions, are in place to protect your data. Bracy is not liable for any data loss, corruption, or unauthorized access resulting from the configuration of your database or network environment.
7. Document Uploads
You may upload documents (PDF, TXT, Markdown) to the Service to create a searchable knowledge base for your AI assistant. Uploaded documents are stored in secure cloud storage and processed for semantic search capabilities.
You are solely responsible for ensuring that the documents you upload do not contain sensitive personal data that should not be processed by AI systems, or that you have the appropriate legal basis and consent to process such data through the Service.
Maximum file size and supported format restrictions apply as specified in the Service interface.
8. AI-Generated Outputs
The Service uses AI to generate SQL queries, data analysis, visualizations, and natural language responses. You acknowledge that:
- AI-generated outputs may contain errors, inaccuracies, or biases. You are responsible for reviewing and verifying all outputs before relying on them for any decision-making.
- AI-generated SQL queries are executed against your connected databases. Bracy is designed to perform only read operations to analyze your data.
- Bracy does not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated output.
- You assume all risk associated with the use of AI-generated outputs, including but not limited to business decisions and reports based on such outputs.
9. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Process personal data in violation of applicable data protection laws, including the GDPR, CCPA, or equivalent legislation.
- Attempt to gain unauthorized access to any systems, networks, or data.
- Transmit viruses, malware, or any harmful code.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to build a competing product or service.
- Circumvent any usage limits, rate limiting, or access controls.
- Use the Service for any unlawful, fraudulent, or deceptive purpose.
- Use automated means to access the Service beyond the provided API, without our express written consent.
- Share your account credentials with third parties or allow unauthorized access.
Violation of these acceptable use policies may result in immediate suspension or termination of your account without notice.
10. Intellectual Property
10.1 Our Intellectual Property
The Service, including its original content, features, functionality, design, software, and documentation (excluding User Content), is and remains the exclusive property of Bracy and its licensors. The Service is protected by copyright, trademark, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.
10.2 Your Intellectual Property
You retain all rights to your User Content. Nothing in these Terms transfers ownership of your data, documents, or query results to Bracy.
10.3 Feedback
If you provide feedback, suggestions, or recommendations regarding the Service, you grant Bracy a perpetual, irrevocable, non-exclusive, royalty-free license to use, modify, and incorporate such feedback for any purpose without obligation to you.
11. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data. By using the Service, you consent to the practices described in the Privacy Policy.
12. Third-Party Services
The Service integrates with and relies upon third-party services, including but not limited to:
- AI/LLM Providers for natural language processing.
- Cloud Infrastructure Providers for hosting, authentication, storage, and security.
- Stripe for payment processing.
- Google Analytics and Meta (Facebook) Pixel for analytics and performance tracking.
Your use of these third-party services is subject to their respective terms of service and privacy policies. Bracy is not responsible for the practices, availability, or performance of any third-party services.
13. Service Availability and Modifications
We strive to maintain the availability of the Service but do not guarantee uninterrupted or error-free operation. We reserve the right to:
- Modify, suspend, or discontinue any part of the Service at any time, with or without notice.
- Perform maintenance that may temporarily affect Service availability.
- Update or change features, usage limits, or pricing.
We will make commercially reasonable efforts to provide advance notice of material changes that adversely affect your use of the Service.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
WITHOUT LIMITING THE FOREGOING, BRACY DOES NOT WARRANT THAT:
- THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
- THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
- AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE.
- ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.
You use the Service at your sole risk. No advice or information, whether oral or written, obtained from Bracy shall create any warranty not expressly stated in these Terms.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BRACY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR USE OF OR INABILITY TO USE THE SERVICE.
- ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN.
- ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE.
- ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE TRANSMITTED THROUGH THE SERVICE.
- ANY ERRORS, INACCURACIES, OR OMISSIONS IN AI-GENERATED CONTENT OR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF YOUR USE OF AI-GENERATED OUTPUTS.
- ANY LOSS OR CORRUPTION OF DATA IN YOUR CONNECTED DATABASES RESULTING FROM YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.
16. Indemnification
You agree to defend, indemnify, and hold harmless Bracy, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; (d) any User Content you submit through the Service; or (e) your connection to and querying of databases through the Service.
17. Termination
We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
You may terminate your account at any time by contacting us or using the account deletion functionality within the Service.
Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.
18. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Colombia, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of the applicable arbitration institution in Bogota, Colombia.
Notwithstanding the foregoing, nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
19. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you via email or through the Service.
Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.
20. General Provisions
20.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Bracy regarding the Service and supersede all prior agreements, proposals, or representations, whether written or oral.
20.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
20.3 Waiver
No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
20.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. Bracy may assign these Terms without restriction.
